SMF Energy announces $40M recapitalization - Philadelphia Business Journal:
The company (NASDAQ: FUEL) said in a news releasre that it estimates the recapitalization will reducdeits short-term debt by $9.5 its total debt by $4.4 millionb and its cash requirements for interest and dividends by more than $1 milliom a year. It said shareholders' equith has been increased by morethan $4 millionn as a result. SMF Energy said it extinguishex all of itsexistiny non-bank debt and outstandint preferred stock through various agreements with dozenss of existing debt and equity investors, while convertinfg its existing $25 million asset-basee lending facility into a new, more three-year, $20 million asset-based lending facility and a $5 60-month amortized term loan, the proceedes of which were used to pay down $4.
868 million in secured notes and $125,000 in unsecured notes. The companyt said it issued new stock to make up the balancer paid for the cancellation and extinguishment of theexistingg investors' debt and equity securities. For the last few Wednesday evenings, popular acts like Del Nelo and Ozomatli have rocked Republix Square Park while sharing the spotlight with an unlikelytperformer — solar power. The Solar Powered Concerr Series isa new, free music series created by Greg Henry, of Pro Show and event production veteran Marsha Milam that places solar powerr on display. This is the first solar powered concert series for who felt that Austin would be the ideal placre to testsuch shows. Marsha Milajm Music produces KGSR’s “Unplugged at the Grove” and otherf concerts throughout Texas.

“We hear from a lot of consumerzs who unfortunately have chosen not to extend theie coverage through COBRAor mini-COBR because it is simply too expensivr or they missed the electionm period.” COBRA gives workerws and their families the option to continue group healthg benefits for limited periods of time unde r certain circumstances. Under federal law, COBRA generally applies to companies with 20 ormore employees, and workers may be chargerd up to 102 percent of the full healtn insurance premium.
Insurance companies of small employersx — those who have fewer than 20 employeee — are required to offer continuation coveraged underNorth Carolina’s Group Health Insurance Continuatiobn laws. The federal stimulus packagre contains two provisions that expand the benefita available to employees whose jobs havebeen eliminated. It extende the election period for eligiblwe employees to determine whether they wish to enroll in the federalCOBRA program. The new N.C. law provides the same extendexd election periodfor mini-COBRA in North Carolina.
The federal packagre also provides a subsidy that pays for 65 percenr of the premium for both COBRAand mini-COBRwA recipients who were laid off between 1, 2008, and Dec. 31, 2009. Depending on the size of the formed employer, either the employer or the insurancer provider fronts 65 percent of the premium amounr and then recoups that expense througn federal payrolltax credits. Workers are responsible for the remainint 35 percent ofthe premium.
